Senior Expert / Manager (Corporate Development, M&A)

Experience: 3-5 years / 5 years +

Key responsibilities:

  • Transaction support on potential acquisitions, divestitures, mergers or takeovers of companies/assets, including creation of new lines of business as a part of the expansion strategy of the Holding Company, its subsidiaries, and affiliated companies on acquisitions or divestitures of assets and advising on M&A transactions;
  • Preparation of project documentation related to potential transactions, including pitchbooks, teasers, information memorandums, management presentations, business plans etc.;
  • Participation in the preparation of term sheets, non-binding and binding offers, purchase and sale agreements (SPAs) and other documentation required for the potential transactions;
  • Conduction of tenders among potential suppliers (independent consultants) of services, including consultants on financial, tax, legal analysis (Due Diligence), independent appraisal, attraction of external financing, with subsequent analysis of the received proposals and selection of the most optimal option;
  • Negotiation of commercial terms of contracts with selected suppliers, organizing approval and signing of final documentation;
  • Participation in negotiations with representatives of interested parties, protecting and defending the Company's interests within the framework of merger and acquisition (M&A) projects;
  • Preparation of internal documentation, presentations for internal and external stakeholders;
  • Conduction of complex financial analysis, building discounted cash flow and valuation models, and preparation of similar documents;
  • Aggregation of industry information, formation of professional opinion and evaluation, and conduction of a competitive analysis to find potential investment opportunities;
  • On the basis of prepared industry research, identifying investment areas, preparing competitive analysis, analyzing trends, performance of peer companies, historical and similar transactions;
  • Analyzing the obtained information, financial indicators, and key assumptions in order to determine the investment attractiveness and feasibility of participation in projects within the perimeter of subsidiaries and affiliated companies, as well as the Investment Committee;
  • Support with preparation and development of project documentation for subsequent submission to the Transactions Committee and the Board of Directors of the Holding, as well as management of the related internal procedures
  • Manage, lead and control the fulfillment of duties of junior team members (experts);.

Requirements:

  • Minimum 3-5 years of working experience in financial advisory services, previous experience in private equity and/or investment banking is an advantage;
  • Sound knowledge of M&A processes and recent activities in the region;
  • Bachelor's degree in Finance, Audit or Economics, Master’s degree is an advantage;
  • Strong knowledge of corporate finance, accounting and business valuation;
  • Excellent command in English and Russian (spoken and written);
  • Strong technical skills including advanced MS Excel and MS PowerPoint;
  • Previous experience with S&P Capital IQ and Bloomberg data platforms is an advantage;
  • CFA qualification in progress or completed is an advantage;
  • Ability to prioritise tasks, work on multiple engagements and manage rapidly changing assignments in team environments;
  • Highly analytical mind-set, critical thinking combined with excellent interpersonal and communication skills – including the ability to articulate to the team;
  • High level of attention to details and ability to master new tasks quickly;
  • Strong ethical mindset and ability to work in a team.
