Responsibilities:

  • 1. Local Law Compliance and Risk Control Support Take the lead in continuously monitoring and interpreting the laws, regulations, and regulatory policies of the Republic of Uzbekistan (including corporate law, civil law, tax, FX and fund repatriation, land and real estate, construction permits, energy regulation, labour and immigration, environment, HSE, customs and certification, etc.), and provide actionable compliance recommendations and risk alerts. Actively participate in the risk control taskforce and work closely with PRC-based legal colleagues to implement risk prevention and mitigation measures.
    2. Corporate Governance Support Take the lead in supporting day-to-day corporate governance matters, including drafting and arranging execution of shareholder resolutions, powers of attorney (PoA), local procedures for capital increase and capital reduction, and updates to the articles of association and internal policies/procedures.
    3. Contract Review Support Assist senior lawyers in reviewing material contracts and related documents, including without limitation the concession agreement, EPC contract, O&M contract and financing-related agreements, and ensure that such contracts meet common bankability requirements.
    4. External Counsel and Vendor Management Manage the scope of work, budget, deliverable quality and timelines of Uzbekistan local external counsel/advisers; review invoices and work product.
    5. Legal Advisory and Training Support Provide local legal advice for the project company’s day-to-day operations and deliver targeted legal training to relevant departments within the company.

Requirements:

  • Fluent in English and Russian
  • Bachelor/Master degree in law background
  • 5 years working experiences (at least 3 years in Energy Sector),
  • Familliar with Investment Law, Civil law, Electricity Law etc; Familliar with EPC Contract, PPP Contract.
Terms:
  • Compensation for food (once time in a working day) according to the Company’s Policy
  • Compensation for transportation (once time in a working day) according to the Company’s Policy
  • 21 days of annual leave calculated on a calendar day basis
  • Payable Sick leaves (only if the requested document is provided)
  • Annual bonuses according to performance and company internal regulations
  • 5/2 working schedule from 9 a.m. to 6 p.m.
